Form of Counter Contract
March 1800

Memorandum of a Contract being in the nature
of a Counter Agreement or contract in bearing relation to a Memorandum
of a Contract or Agreement between of
this same date already made and entered into and signed by
the parties hereunto viz
by and between the parties hereunto, viz: Benjamin Hodges of Milbank
in the Liberty of Westminster Distiller and Jeremy
Bentham of Lincolns Inn Middlesex and Queen's
bearing this same date. Square Place Westminster Esquire.

Whereas in and by the said Contract it is
agreed that the said Jeremy Bentham shall pay
and the said Benjamin Hodges shall receiveaccept the
several sums of £3750⊞ ⊞ and £2000 in the several contingencies therein mentioned in full satisfaction as well for the
right and interest of the said Benjamin Hodges in the premises therein mentioned,
as for all damage accruing which may or can accrue
to him the said his Exors &c by reason of his or their quitting
possession of the premises on the said of March
instead of the this instant March as therein mentioned or the 29th of Sept next ensuing respectively
being the day in which he would have had to
quit the said premises had no such notice been
given as aforesaid.

And whereas it may chance that it may shall
not be necessary for the purposes of the Act of
Parliament in the said Contract mentioned that
he the said Benjamin Hodges should quit the said such his or their possession
so soon as the said of Mar 29th of September next ensuing instance.
And whereas on different counts it may be eventually be in the power
of the said Jeremy Bentham⊞ consistently with without prejudice
the said purposes of the said Act to give permission
to the said Benjamin Hodges &c to retain such his or their possession
down to the several days hereinafter respectively
in that behalf mentioned —
