settled by Mr Soll. General the proposed addition
might stand in some such words as these, viz:

"Provided that if any disagreement should arise
between the said Jeremy Bentham his Heirs, Executors,
Administrators, or Assigns, on the one part, & such
person or persons so nominated as aforesaid on the
other part, the same shall be adjusted be two referees
one to be appointed by the Ld High Chancellor
or Lords Commissioners of the Treasury for the
time being & the other by the said Jeremy Bentham
his Heirs, Exors, Admors or Assigns & in
case such referees shall differ in opinion they shall
appoint an umpire whose decision shall be final."

Without such clause of reference Mr Bentham
with his whole property would lie absolutely at the
mercy of a person or persons altogether unknown to
him, to be nominated perhaps indeed by the present
Lords Commissioners who are known to him, but
perhaps also be their unknown successors.

As to the non appearance of the principal
clause (that for the ex-parte on the minutes) Mr B. is inclined
to flatter himself that the knowledge which
Mr Pitt & Mr Long had derived of his plans from
the inspection of the models (he know not how far
he may be warranted in adding the personal knowledge
acquired by them of the proposed Contractor & his
